These Terms are a binding legal agreement. Section 4 (Content and Your Agents) and Section 8 (Indemnification) are especially important. By creating an account and uploading content to train an Agent, you confirm you have read, understood, and agree to be bound by these Terms.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Creator," "you," or "your") and Synetic Consulting Group, LLC ("Synetic," "Synetic.io," "we," "us," or "our") governing your access to and use of the Synetic Expert Agent platform, including all features, services, software, and tools offered through synetic.io and related domains (collectively, the "Platform").

BY CREATING AN ACCOUNT, CLICKING "I AGREE," OR OTHERWISE ACCESSING OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.

If you do not agree to these Terms, you must not create an account or access the Platform.

2. The Synetic Platform — Intermediary Nature

Synetic operates as a technology hosting platform that provides tools for Creators to build, configure, deploy, and monetize AI-powered agents ("Agents"). Synetic is a platform intermediary and passive conduit only. Synetic does not author, create, control, review, verify, or endorse the content of any Agent. Each Agent is independently built and operated exclusively by the Creator who deployed it.

Synetic is not a publisher or speaker of Creator Content (as defined in Section 4) and expressly disclaims any liability for Creator Content to the fullest extent permitted by applicable law. You, as the Creator and operator of an Agent, bear full and exclusive responsibility for its content, configuration, accuracy, lawfulness, and all effects on end users and third parties.

Nothing in these Terms makes Synetic your partner, joint venturer, employer, or agent. Synetic provides the infrastructure; you run the business built on top of it.

3. Creator Accounts

3.1 Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract in your jurisdiction to create an account. By creating an account, you represent that you meet these requirements.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify Synetic immediately at legal@synetic.io of any unauthorized use of your account. Synetic is not liable for any loss or damage arising from your failure to protect your credentials.

3.3 Accurate Information

You agree to provide accurate, current, and complete information during account registration and to promptly update such information to keep it accurate, current, and complete.

3.4 One Account per Entity

Each natural person or legal entity may maintain only one account unless Synetic explicitly authorizes additional accounts in writing.

4. Content, Agents, and Your Responsibilities

4.1 Definitions

"Creator Content" means all text, documents, data, files, images, media, and other materials that you upload, submit, or otherwise provide to Synetic to train or configure an Agent ("Training Content"), as well as all content, responses, and outputs generated, delivered, or made accessible by your Agent to end users or third parties.

4.2 Exclusive Responsibility for Creator Content

You are solely and exclusively responsible for all Creator Content. Synetic does not review, verify, endorse, supervise, or assume any liability for Creator Content. You acknowledge that Synetic acts solely as a passive hosting provider for Creator Content and that no agency, partnership, or joint venture is created between you and Synetic with respect to Creator Content or your Agents.

4.3 Content Rights and Intellectual Property — Training Data

This section governs what content you are permitted to upload to train or configure your Agent. This is one of the most important provisions in these Terms.

You may only upload content to which you hold appropriate rights. Uploading copyrighted books, articles, research, course materials, databases, or any other content owned by a third party — without a valid license explicitly authorizing use for AI training — is strictly prohibited and may expose you to significant civil and criminal liability.

By uploading any Training Content, you represent, warrant, and covenant on an ongoing basis that:

4.4 Limited License to Synetic

You grant Synetic a non-exclusive, worldwide, royalty-free, sublicensable license to store, host, process, transmit, and use Creator Content solely to the extent necessary to provide and operate the Platform and your Agent in accordance with these Terms. Synetic does not claim ownership over your Creator Content. This license terminates when you remove the content or close your account, subject to reasonable technical delays and backup retention.

4.5 Representations Regarding Agent Outputs

You acknowledge that AI-generated outputs can be inaccurate, incomplete, or misleading. You are solely responsible for reviewing, testing, and appropriately disclosing to your end users the nature and limitations of your Agent. You must not represent your Agent's outputs as professional advice (medical, legal, financial, or otherwise) unless you hold the applicable professional credentials and have implemented appropriate disclaimers and safeguards.

4.6 Prohibited Content

You may not upload, configure, deploy, or cause your Agent to produce any Creator Content that:

4.7 Monitoring and Enforcement

Synetic reserves the right, but not the obligation, to review, investigate, remove, or disable access to any Creator Content or Agent that Synetic reasonably believes violates these Terms, applicable law, or Synetic's policies, at any time and without prior notice. Synetic's exercise or non-exercise of this right does not create any obligation or liability on Synetic's part.

5. End User Relationships

Your Agents will be accessed by end users ("Users"). You are solely responsible for:

Synetic is not a party to any agreement between you and your Users. Synetic has no liability to your Users arising from your Agent or your conduct as a Creator.

6. Intellectual Property

6.1 Synetic's Platform

The Synetic Expert Agent Platform — including all software, technology, infrastructure, designs, user interfaces, trade names, trademarks, service marks, logos, and proprietary methods — is and remains the exclusive property of Synetic Consulting Group, LLC and its licensors. These Terms do not grant you any right to use Synetic's intellectual property except as expressly permitted to access and use the Platform in accordance with these Terms.

6.2 Your Content

You retain full ownership of all content you create, author, and upload to the Platform. Synetic claims no ownership over your Creator Content. Your only obligation is to ensure that you hold the rights described in Section 4.3.

6.3 Feedback

If you provide Synetic with feedback, suggestions, or ideas regarding the Platform, Synetic may use such feedback without restriction or compensation to you. You assign to Synetic all rights, title, and interest in any such feedback.

7. DMCA and Copyright Policy

Synetic respects intellectual property rights and complies with the Digital Millennium Copyright Act ("DMCA"), 17 U.S.C. § 512. If you believe that content made available on or through the Platform infringes your copyright, you may submit a written Notice of Claimed Infringement to our designated DMCA Agent at:

Your notice must include: (1) a physical or electronic signature of the copyright owner or authorized agent; (2) identification of the copyrighted work claimed to have been infringed; (3) identification of the allegedly infringing material and its location on the Platform sufficient for Synetic to locate it; (4) your name, address, telephone number, and email address; (5) a statement of your good faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (6) a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or are authorized to act on the owner's behalf.

Upon receipt of a valid DMCA notice, Synetic will promptly investigate and, where appropriate, disable access to or remove the allegedly infringing content and notify the affected Creator. Synetic will terminate the accounts of Creators who are found to be repeat infringers.

Creators who believe that content was removed in error may submit a DMCA Counter-Notice in accordance with 17 U.S.C. § 512(g).

8. Indemnification

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS SYNETIC CONSULTING GROUP, LLC, ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SERVICE PROVIDERS, AND SUCCESSORS (COLLECTIVELY, THE "SYNETIC PARTIES") FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, ACTIONS, PROCEEDINGS, LIABILITIES, DAMAGES, JUDGMENTS, AWARDS, LOSSES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES, EXPERT FEES, AND COURT COSTS) ARISING OUT OF OR RELATING TO:
  • (a) YOUR ACCESS TO OR USE OF THE PLATFORM, OR ANY AGENT YOU BUILD, DEPLOY, OR OPERATE ON THE PLATFORM;
  • (b) ANY CREATOR CONTENT YOU UPLOAD, SUBMIT, CONFIGURE, OR MAKE AVAILABLE THROUGH THE PLATFORM, INCLUDING ANY CLAIM THAT YOUR CREATOR CONTENT INFRINGES OR MISAPPROPRIATES A THIRD PARTY'S INTELLECTUAL PROPERTY RIGHTS;
  • (c) YOUR VIOLATION OF THESE TERMS OR ANY REPRESENTATION OR WARRANTY YOU MADE HEREIN;
  • (d) YOUR VIOLATION OF ANY APPLICABLE LAW, REGULATION, OR THIRD PARTY RIGHTS;
  • (e) ANY CLAIM BROUGHT BY AN END USER OR THIRD PARTY ARISING FROM YOUR AGENT OR YOUR CONDUCT AS A CREATOR;
  • (f) YOUR UNAUTHORIZED USE OF THIRD-PARTY CONTENT TO TRAIN OR CONFIGURE YOUR AGENT;
  • (g) YOUR FAILURE TO COMPLY WITH ANY APPLICABLE PRIVACY, DATA PROTECTION, OR CONSUMER PROTECTION LAWS IN CONNECTION WITH YOUR AGENT.

SYNETIC RESERVES THE RIGHT TO ASSUME EXCLUSIVE DEFENSE AND CONTROL OF ANY MATTER SUBJECT TO INDEMNIFICATION BY YOU, AT YOUR EXPENSE, IN WHICH CASE YOU AGREE TO COOPERATE FULLY WITH SYNETIC IN ASSERTING ALL AVAILABLE DEFENSES. YOU AGREE NOT TO SETTLE ANY SUCH MATTER WITHOUT SYNETIC'S PRIOR WRITTEN CONSENT.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNETIC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SYNETIC DOES NOT WARRANT THAT: (A) THE PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (B) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) AI-GENERATED OUTPUTS OR RESPONSES WILL BE ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR ANY PURPOSE; (D) ANY DEFECTS IN THE PLATFORM WILL BE CORRECTED; OR (E) THE PLATFORM OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. IN SUCH JURISDICTIONS, THE ABOVE EXCLUSIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(A) IN NO EVENT SHALL ANY SYNETIC PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, ANY AGENT, OR ANY CREATOR CONTENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF SYNETIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(B) THE TOTAL AGGREGATE LIABILITY OF ALL SYNETIC PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (I) THE TOTAL FEES PAID BY YOU TO SYNETIC IN THE TWELVE (12) CALENDAR MONTHS IMMEDIATELY PRECEDING THE DATE THE CLAIM AROSE; OR (II) ONE HUNDRED U.S. DOLLARS (US$100).

THE LIMITATIONS IN THIS SECTION ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND SYNETIC. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, THESE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

11. Termination

11.1 Termination by You

You may cancel your account at any time through the Platform settings. Cancellation does not relieve you of any payment obligations that accrued prior to the effective date of cancellation, and you remain bound by any obligations under these Terms that survive termination.

11.2 Termination by Synetic

Synetic may suspend or permanently terminate your access to the Platform at any time, immediately and without prior notice or liability, for any reason, including but not limited to: (a) material or repeated breach of these Terms; (b) receipt of a valid DMCA notice or credible claim of intellectual property infringement related to your Agent; (c) conduct that Synetic determines, in its sole and reasonable discretion, poses a legal, reputational, operational, or security risk to Synetic, other Creators, or end users; or (d) non-payment of fees.

11.3 Effect of Termination

Upon termination, your right to access and use the Platform ceases immediately. Your Agent will be taken offline. Synetic may retain Creator Content for a limited period as required for legal, compliance, or backup purposes. Sections 4, 6, 7, 8, 9, 10, 12, and 14 of these Terms survive termination indefinitely.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms and any dispute arising from or relating to them or the Platform shall be governed exclusively by the laws of the State of Delaware, United States, without regard to its conflict of law principles and without giving effect to the United Nations Convention on Contracts for the International Sale of Goods.

12.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or the breach, termination, enforcement, interpretation, or validity of these Terms that cannot be resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its then-current Commercial Arbitration Rules. The arbitration shall be conducted in the English language. The seat of arbitration shall be Wilmington, Delaware. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 Class Action and Jury Trial Waiver

YOU AND SYNETIC EACH IRREVOCABLY WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION, CLASS ARBITRATION, REPRESENTATIVE PROCEEDING, OR CONSOLIDATED ARBITRATION WITH RESPECT TO ANY CLAIM SUBJECT TO ARBITRATION UNDER THESE TERMS.

12.4 Exceptions to Arbitration

Notwithstanding Section 12.2, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information, pending resolution of the arbitration. Claims within the jurisdiction of small claims courts may be brought there.

12.5 Informal Resolution

Before initiating arbitration, you agree to contact Synetic at legal@synetic.io and attempt to resolve the dispute informally for at least 30 days.

13. Changes to Terms

Synetic reserves the right to modify these Terms at any time in its sole discretion. For material changes, Synetic will provide notice by email to the address associated with your account and/or by prominently posting a notice on the Platform at least 14 days before the changes take effect. Non-material changes may take effect immediately upon posting.

Your continued use of the Platform following the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to any modified Terms, you must stop using the Platform and cancel your account before the effective date of the changes.

14. General Provisions

14.1 Entire Agreement

These Terms, together with Synetic's Privacy Policy and any order forms, addenda, or service-specific terms incorporated by reference, constitute the entire agreement between you and Synetic regarding the Platform and supersede all prior or contemporaneous agreements, representations, and understandings.

14.2 Severability

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and all other provisions shall remain in full force and effect.

14.3 No Waiver

Synetic's failure or delay in exercising any right or remedy under these Terms shall not constitute a waiver of that right or remedy. Any waiver must be in writing and signed by an authorized representative of Synetic to be effective.

14.4 Assignment

You may not assign, delegate, or transfer any of your rights or obligations under these Terms without Synetic's prior written consent. Any purported assignment in violation of this section is void. Synetic may freely assign or transfer its rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets.

14.5 Force Majeure

Synetic shall not be liable for any failure or delay in performance arising from causes beyond its reasonable control, including natural disasters, acts of government, internet outages, power failures, or third-party service disruptions.

14.6 No Third-Party Beneficiaries

These Terms do not confer any rights or remedies upon any third party. Your Users are not third-party beneficiaries of these Terms.

14.7 Language

These Terms are written in English, which is the controlling language. Any translation is provided for convenience only and shall not affect the interpretation of the English version.
